Anthropic and OpenAI are moving to void secondary market trades. But Kain Warwick, Taylor Monahan, and Luca Netz think the crackdown only addresses part of the problem — and misses the part that actually can’t be stopped.
Kain traces the full anatomy of the pre-IPO secondary market: WhatsApp groups selling rocks with Anthropic written on them at the bottom of the chain, KYC’d platforms like Forge operating legitimately in the middle, and onchain synthetic markets at the top that have nothing to do with actual shares. Luca explains the operating agreement mechanics — when founders can actually block secondary sales and when they can’t — and why platforms like Forge are now being caught in a crackdown they don’t deserve.
Kain then draws the critical distinction between SPV-backed vehicles like PreStocks, which hold actual shares in a wrapper, and purely synthetic markets like Ventuals, which hold nothing. He uses the bucket shop model from the 1900s to explain the mechanics of a pure synthetic: two counterparties betting on a price, no underlying asset, cash settlement. Tay closes the explanation: it’s Polymarket, basically — you’re just settling the bets.
